These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User", or "You") and AdsHive Media ("Company", "We", "Us", or "Our") governing your access to and use of our website at adshive.in and all digital marketing services we provide.

2 Acceptance of Terms

By accessing adshive.in, submitting a contact form, engaging AdsHive Media for any service, or entering into a service agreement with us, you unconditionally accept these Terms of Service.

These Terms apply to all visitors, prospective clients, and active clients of AdsHive Media. They apply to all services whether provided through our website, WhatsApp, email, phone consultation, or any other communication channel.

  • You must be at least 18 years of age or have legal authority to enter into a binding contract on behalf of a business entity.
  • If you are accepting these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
  • These Terms supersede any prior verbal or informal agreements and represent the complete agreement between AdsHive Media and the Client.
  • AdsHive Media reserves the right to update these Terms at any time. Continued use of our services after updates constitutes acceptance of the revised Terms.

3 Our Services

AdsHive Media provides a comprehensive range of digital marketing services. The specific scope of services for each client is defined in the individual Service Agreement or Proposal provided at the time of engagement.

Our core services include but are not limited to:

  • Meta Ads Management — Facebook and Instagram paid advertising campaign creation, management and optimization.
  • Google Ads Management — Search, Display, Shopping and YouTube advertising campaign management.
  • Search Engine Optimization (SEO) — On-page, off-page, technical SEO and local SEO services.
  • Social Media Marketing — Content creation, posting, community management and brand building across social platforms.
  • Website Development — WordPress, Shopify and custom website design and development.
  • eCommerce Marketing — Complete eCommerce store setup, management and performance marketing.
  • Google My Business (GMB) Optimization — Local business profile management and optimization.
  • Lead Generation Campaigns — Custom funnel design and paid lead generation across platforms.
  • Ad Optimization & Scaling — Audit and improvement of existing ad campaigns.

💡 All services are provided as described in your specific service agreement. AdsHive Media reserves the right to modify, add or discontinue any service offering with reasonable prior notice to active clients.

4 Client Obligations

To enable AdsHive Media to deliver services effectively, clients agree to fulfil the following obligations throughout the engagement:

  1. Accurate Information — Provide complete, accurate and truthful information about your business, target audience, products/services, and marketing goals. Providing false or misleading information may result in termination of services.
  2. Timely Access — Grant necessary access to advertising accounts (Meta Business Manager, Google Ads, etc.), website, analytics tools and other platforms required to perform the services within 48 hours of request.
  3. Timely Feedback — Respond to requests for approvals, feedback, content or information within the agreed timeframe (typically 48 hours). Delays caused by the client may affect campaign timelines and results.
  4. Lawful Content — Ensure all business information, products, services and content you provide comply with applicable Indian laws and Meta/Google advertising policies. AdsHive Media is not liable for ad disapprovals resulting from client-side policy violations.
  5. Payment Compliance — Pay all invoices and ad spend contributions on time as per the agreed payment schedule. Non-payment may result in service suspension.
  6. Communication — Maintain open and honest communication with your assigned campaign manager. Notify us promptly of any changes in business direction, products, or goals that may affect campaign strategy.
  7. Confidentiality — Keep all strategic recommendations, campaign data, creative concepts and reports provided by AdsHive Media confidential and not share them with competitors.

5 Payment Terms

All payment terms are clearly defined in your individual service agreement or invoice. The following general payment terms apply to all AdsHive Media engagements:

  • Management Fees — Monthly service management fees are due on or before the 1st of each calendar month or as specified in the service agreement.
  • Ad Spend — Advertising spend (budget for Meta, Google and other platforms) is separate from our management fees. Clients are responsible for funding their own ad accounts directly unless otherwise agreed in writing.
  • One-Time Projects — For website development, design or one-time projects, a 50% advance payment is required before work begins, with the remaining 50% due upon project completion and before final delivery.
  • Late Payments — Invoices unpaid for more than 7 days from the due date may result in service suspension. Services will resume within 48 hours of payment being received.
  • Refund Policy — Management fees paid for a completed service period are non-refundable. For project-based work, refunds may be considered on a case-by-case basis if work has not yet commenced. Ad spend paid to platforms (Meta, Google) is subject to those platforms' own refund policies — AdsHive Media has no control over platform-level refunds.
  • Price Changes — AdsHive Media reserves the right to revise service pricing with a minimum of 30 days' prior written notice to existing clients.
  • Taxes — All prices are exclusive of applicable taxes (GST) unless stated otherwise. Applicable taxes will be added to invoices as required by Indian tax laws.

⚠️ Important: AdsHive Media management fees do not include advertising platform budgets. The money you spend on Facebook Ads or Google Ads goes directly to those platforms — not to AdsHive Media.

6 Intellectual Property Rights

Understanding who owns what is important in any service relationship. Here is how intellectual property is handled at AdsHive Media:

  • Client-Owned Assets — Your business name, logo, brand assets, product images, existing website content, and any materials you provide to us remain your exclusive property at all times.
  • Campaign Creatives (After Full Payment) — Ad creatives, copy, graphics and other deliverables created specifically for your campaigns become your property upon full and final payment of all outstanding invoices.
  • Strategies & Methodologies — Campaign strategies, optimization techniques, systems, processes, frameworks and methodologies developed or used by AdsHive Media remain the intellectual property of AdsHive Media and are not transferred to clients.
  • Website Development — For website projects, final source code and design files are transferred to the client upon full payment. Third-party themes, plugins and licensed assets remain subject to their respective license agreements.
  • AdsHive Media Brand — The AdsHive Media name, logo, website content and brand assets are protected intellectual property. You may not use, reproduce or imply any association with AdsHive Media without prior written permission.
  • Portfolio Rights — AdsHive Media reserves the right to display work completed for clients in our portfolio, case studies and marketing materials, unless the client explicitly requests confidentiality in writing.

7 Confidentiality

Both AdsHive Media and our clients handle sensitive business information. We take confidentiality extremely seriously and expect the same mutual respect.

  • Our Commitment to You — AdsHive Media will keep all your business information, campaign data, ad account performance, product details, pricing strategies and any other confidential information strictly private. We will not share this with any third party without your explicit written consent, except as required by law.
  • Your Commitment to Us — You agree to keep all strategies, frameworks, optimization methods, proposals, pricing and business processes shared by AdsHive Media strictly confidential and not disclose them to competitors or third parties.
  • Team Access — Confidential information is shared only with AdsHive Media team members who require it to perform their specific service role. All team members are bound by confidentiality obligations.
  • Duration — Confidentiality obligations remain in effect during the engagement and for a period of 24 months after the conclusion of services.
  • Exceptions — Confidentiality obligations do not apply to information that is already publicly known, independently developed without reference to confidential information, or required to be disclosed by applicable law or court order.

8 Results Disclaimer

AdsHive Media is deeply committed to delivering exceptional results for every client. However, digital marketing involves external factors outside our control, and we believe in complete transparency about this.

⚠️ No Guarantee of Specific Results: While we have a strong track record (380+ clients, 5000+ campaigns, 4X average ROAS), AdsHive Media cannot and does not guarantee specific financial returns, lead volumes, conversion rates, ranking positions or revenue outcomes from digital marketing campaigns.

Results can be influenced by factors beyond our control including:

  • Advertising platform algorithm changes (Meta, Google policy updates)
  • Market competition levels and seasonal demand fluctuations
  • Quality and relevance of your products/services and pricing
  • Your website's conversion rate and user experience quality
  • Timeliness of client feedback, approvals and content delivery
  • Overall economic conditions affecting your industry
  • Client-side operational capacity to handle incoming leads

AdsHive Media commits to applying our full expertise, best practices, continuous optimization and transparent reporting to maximize your campaign performance. Our case studies and results shown on our website represent real client outcomes achieved under specific circumstances and should not be interpreted as guaranteed results.

9 Limitation of Liability

To the maximum extent permitted by applicable Indian law, AdsHive Media's total liability to any client for any claim arising out of or related to our services shall not exceed the total amount paid by that client to AdsHive Media in the three months immediately preceding the claim.

AdsHive Media shall not be liable for:

  • Indirect, incidental, consequential, special or punitive damages of any nature
  • Loss of profits, revenue, business opportunities or anticipated savings
  • Loss of data, goodwill or reputation arising from service delivery
  • Ad account suspensions or bans imposed by Meta, Google or other advertising platforms
  • Website downtime, hosting issues or technical failures outside our direct control
  • Third-party service failures (payment gateways, hosting providers, email platforms)
  • Errors or omissions in information provided by the client that affect campaign performance
  • Delays caused by the client's failure to provide timely feedback, access or approvals

10 Termination of Services

Either party may terminate the service engagement under the following conditions:

  • By Client (Monthly Services) — You may terminate ongoing monthly services by providing a minimum of 15 days written notice before the next billing cycle. Services will continue through the end of the paid period.
  • By Client (Project Work) — For project-based work (websites, one-time campaigns), termination during the project will be subject to payment for all work completed up to the termination date. The advance payment is non-refundable.
  • By AdsHive Media — We reserve the right to terminate services with 7 days written notice if a client repeatedly violates these Terms, engages in abusive behaviour toward our team, fails to make payments, provides fraudulent information, or requires us to engage in activities that violate laws or advertising platform policies.
  • Immediate Termination — AdsHive Media may terminate services immediately and without notice if continuation would require us to violate Indian law, Meta/Google policies, or engage in unethical business practices.
  • Post-Termination — Upon termination, all client assets, account accesses and deliverables (fully paid) will be returned to the client within 7 business days. AdsHive Media will revoke access to all client accounts within the same period.

Termination does not relieve either party of financial obligations incurred prior to the termination date. Outstanding invoices remain payable even after termination.

11 Dispute Resolution & Governing Law

We genuinely hope that any disagreements can be resolved through open and honest communication. In the event of a dispute, the following process applies:

  1. Direct Communication First — Before initiating any formal process, both parties agree to attempt resolution through direct, good-faith communication via email or phone within 14 days of the dispute arising.
  2. Formal Written Notice — If direct communication fails, the aggrieved party must send a formal written notice describing the dispute, the remedy sought and a 21-day response window to adshivemedia@gmail.com.
  3. Mediation — If the written notice does not resolve the matter, both parties agree to attempt resolution through a mutually agreed mediator before pursuing legal action.
  4. Arbitration — If mediation fails, disputes will be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India.
  5. Legal Proceedings — If arbitration is not elected or fails, disputes shall be subject to the exclusive jurisdiction of the courts of Haryana, India.

⚖️ Governing Law: These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of India. Any legal proceedings shall be conducted in English or Hindi at the client's preference.

12 Changes to Terms of Service

AdsHive Media reserves the right to update, modify or replace these Terms of Service at any time to reflect changes in our services, business practices, legal requirements or industry standards.

  • The "Last Updated" date at the top of this page will be updated whenever changes are made.
  • For material changes — changes that significantly affect client rights or obligations — we will notify active clients via email at least 14 days before the changes take effect.
  • For minor changes — corrections, clarifications, or non-substantive updates — changes may take effect immediately upon posting.
  • Continued use of AdsHive Media's website or services after any changes to these Terms constitutes your acceptance of the updated Terms.
  • If you do not agree with updated Terms, you may terminate your service engagement as described in Section 10.
  • Previous versions of these Terms are archived and available upon written request to adshivemedia@gmail.com.
